The regime for headquarters of multinational companies was created by Ley No. 41 of 24 August 2007, and its recurring obligation is annual: a company holding a SEM licence files, within the six months following the close of its fiscal period, an Annual Report with a Sworn Declaration to the Technical Secretariat of the Licence Commission for Headquarters of Multinational Companies (primary source: MICI, SEM section – Annual Report · Sworn Declaration, as of 22 August 2026).
This material arranges into a calendar what the ministry administering the regime publishes. It cites no article of the law, because the texts in the Gaceta Oficial were not opened during this check, and the relative dates are calculated here for two common fiscal closes rather than left as a statement.
What falls due on a SEM licence and to whom
The calendar of a SEM licence has a single fixed point each year and several steps that depend on it. The table sets out what falls due, to whom it is filed and what accompanies it, with the period stated as the ministry states it.

The signature of the authorised public accountant is not an accessory formality: the form must be completed and signed by the legal representative and by the accountant, and a copy of the practising card goes inside the file. That turns the accountant’s availability into a calendar constraint rather than an administrative detail.
Two fiscal closes, two different calendars
The six-month period runs from each company’s own close, so two licence holders under the same regime do not share a due date. The calculation below applies that period to the two most common closes and is an own operation on the published rule, not a date taken from any official calendar.
- Close on 31 December 2026: the Annual Report falls due on 30 June 2027, and the audit must be finished before that date.
- Close on 30 June 2026: the Annual Report falls due on 31 December 2026, that is within the quarter beginning this month.
- In both cases the substance evidence must correspond to the year reported and not to the previous one, because the obligation repeats in every report.
The rest of the normative chain explains why the content of the report changes over the years while the period does not. The MICI publishes the regime as a sequence: Ley 41 de 2007, Ley 45 of 10 August 2012, Ley 57 of 24 October 2018 and Ley 66 of 13 December 2018, plus five implementing acts running from Decreto Ejecutivo No. 28 of 27 March 2009 to Decreto Ejecutivo No. 241 of 16 September 2020 (primary source: MICI, SEM section – Normativa, as of 22 August 2026).
Quality of the sources and what could not be verified
The four sources are sections of the site of the Ministry of Commerce and Industries devoted to the SEM regime, checked on 22 August 2026. None carries a last-updated marker, so each fact is dated by the check. No law firm and no press item was consulted (primary source: MICI, SEM section – Beneficios, as of 22 August 2026).
Three things fell outside reach. The texts of Ley 41 de 2007 and of Decreto 241 of 2020 in the Gaceta Oficial were not opened, so no article is quoted. The composition of the Licence Commission does not appear in the pages consulted. And the statistics section of the regime returned an error, so no number of licences in force is mentioned (primary source: MICI, SEM section – Actividades, as of 22 August 2026).
Dates and periods
The list brings together the periods cited above in the order in which they bite for a company that already holds the licence, and separates those that are fixed from those that depend on its own fiscal close.
- Six months from the close of the fiscal period — filing of the Annual Report – Sworn Declaration.
- 30 June 2027 — due date for a company with a close on 31 December 2026.
- 31 December 2026 — due date for a company with a close on 30 June 2026.
- In every report — proof of the substance requirements of Decreto 241 of 2020.
- Before the application — prior notification to the financial regulator where services will be provided to banking, insurance, reinsurance or securities entities.

The ministry administers the regime, so it is taken as a primary source of what it itself requires and publishes, and not as a substitute for the legal text; that distinction is kept throughout the material. The two due dates calculated for closes on 31 December and 30 June are an own operation on the six-month period the ministry states, and appear as such in no source.
What does not add up is stated without decoration: none of the pages indicates a date of update, the general statistics section returned an error, and the texts of Ley 41 de 2007 and its decrees were not read in the Gaceta Oficial during this check. That is why the material lists the acts with their number and date as the ministry lists them, but neither reproduces nor interprets their provisions.
