A suspended company in Panama has two years from the registration of the suspension to be reactivated; once that term expires, the Public Registry proceeds to definitive cancellation and the company is deemed dissolved, under article 318-A of the Tax Code in the text of Law N° 52 of 2016. On 9 March 2026 the Ministry of Economy and Finance (MEF) reported the dissolution of 180,346 legal entities and, in its circular MEF-2026-15506 of 16 March, warned that suspension grounds that remain active may be the object of future dissolutions.

Which suspension grounds article 318-A provides and which ones the MEF names

Paragraph 2 of article 318-A provides three grounds for suspending corporate rights: three consecutive years of arrears on the tasa única, on the order of the Dirección General de Ingresos (DGI); more than ninety days without a resident agent; and arrears on a final fine. Article 24 of Law N° 129 of 2020 adds the failure to register or update the beneficial owner, ordered by the Superintendencia de Sujetos no Financieros (SSNF).

Circular MEF-2026-15506 asks to check «otras posibles causales de suspensión en el Registro Público» (other possible suspension grounds in the Public Registry): resident agent, accounting records, beneficial owners and compliance with special laws; those that remain active «podrán ser objeto de futuras disoluciones» (may be the object of future dissolutions). The communiqué of 4 February 2026 had said it without listing them: a company suspended «por cualquier causal» (on any ground) is a candidate for dissolution.

The circular distinguishes two stages: stage 1 covers legal entities with a dissolution marginal annotation for non-payment of the fee for more than ten years (year 2016), under Law N° 49 of 2009; stage 2, those with suspended status in the Public Registry, under Law N° 52 of 2016 and Law N° 254 of 2021. The grounds with their own body and deadline in open official sources are the tasa única and the beneficial owner; the others fall outside this comparison.

Where each piece of data on a suspended Panamanian company is recorded

The condition of a Panamanian company is recorded in four places with different access: the Public Registry file, with the company’s current status and public online access after a free registration; the downloadable list of the dissolution groups; the DGI account statement in e-Tax 2.0; and the Single Beneficial Owners System, with confidential access.

Private and Single Registry of Beneficial Owners (SSNF) Beneficial owner of each legal entity, loaded by the resident agent Confidential: the SSNF and the competent authorities Beneficial Owners Guide for Panama, 17.12.2025; Law N° 129 of 2020

Among the data the Guide lists for the Public Registry is the company’s current status, but not the cause of a suspension. Law N° 129 requires that, while a suspension for the beneficial owner lasts, certificates issued to third parties state that the legal entity has not complied with its registration or updating obligation; the tasa única appears in the DGI account statement.

Who orders each suspension, with what deadline and how it is reactivated

A suspension for tasa única is ordered by the DGI after three consecutive years of arrears, and one for the beneficial owner by the SSNF; in both cases article 318-A governs: the company has two years from the registration of the suspension to be reactivated, with a B/.1,000.00 fine to the authority that ordered it, and once the term expires it is definitively cancelled.

Ground Who orders Deadline Basis How it is reactivated
Arrears on the tasa única DGI, which sends half-yearly reports to the Public Registry 3 consecutive years unpaid Art. 318-A, paragraph 2 (Law N° 52 of 2016, art. 9) Request within the 2 years after the suspension is registered; B/.1,000.00 fine to the DGI and remedying the ground; according to the DGI, also B/.25.00 registry tax and the «Levantamiento de la Marginal» (lifting of the marginal annotation) in e-Tax 2.0
Beneficial owner not registered or updated SSNF, which orders the Public Registry to suspend 30 calendar days from when the resident agent completes its own registration with the SSNF (Resolution S-016-2022) Law N° 129 of 2020, art. 24 (modified by art. 42 of Law N° 254 of 2021) Article 318-A governs reactivation, expiry of the term and dissolution: B/.1,000.00 fine to the SSNF and remedying the ground; the SSNF may also order administrative forced liquidation

Reactivation: two years, a B/.1,000.00 fine and definitive cancellation

Once the suspension is registered in the Public Registry, any administrative body, shareholder, partner, resident agent or interested third party may request reactivation during two years (paragraph 4 of article 318-A). Whoever requests it pays the B/.1,000.00 fine to the authority that issued the suspension and remedies the ground (paragraph 5); if the term expires without reactivation, the Public Registry cancels definitively, the company is deemed dissolved and its liquidation begins (paragraph 6).

While the suspension lasts, the company cannot start legal proceedings, do business or dispose of its assets, although it may request reactivation and defend itself in proceedings brought against it (paragraph 3); in a suspension for the beneficial owner no act or document may be registered either (Law N° 129, art. 24). The text cited is that of the Law N° 52 of 2016, art. 9, updated to 2 December 2021; the regime of Law N° 49 of 2009 provided for definitive withdrawal after ten consecutive periods without payment and, once the legal entity was dissolved, «se iniciará el periodo de disolución de tres (3) años» (a three-year dissolution period begins).

Tasa única: three years of arrears and surcharges

The annual tasa única is B/.300.00 for companies and B/.400.00 for foundations from their second year, with a B/.50.00 surcharge per year or fraction of late payment; it is paid by 15 July or 15 January according to the month of the company’s registration (article 318-A). On 5 August 2026 the MEF announced that it will replace the e-Tax system with another platform, with no date, and the DGI page still refers to e-Tax 2.0.

Beneficial owner: thirty days to register and a suspension ordered by the SSNF

The SSNF orders the Public Registry to suspend the corporate rights of legal entities that their resident agent has not registered or updated in the Single System, under article 24 of Law N° 129 of 2020. The deadline is thirty calendar days, counted from when the resident agent completes its own registration with the SSNF (Resolution S-016-2022).

One documented case is Resolution S-024-2025, of 31 March 2025, published in Gaceta Oficial N° 30255-A of 10 April 2025: it lists thirteen legal entities whose suspension Resolution S-DC-155-2025 ordered that same day, because their resident agent had not registered their information in the Single System as of 18 March 2025. The agent identifies the beneficial owner with a threshold of 25% or more of ownership in the non-financial sector and 10% or more in the financial sector, according to the Guide.

The 2016 block and the following groups: MEF figures and differences between communiqués

The MEF announced on 4 February 2026 a first block of 180,883 companies and on 9 March reported 180,346 dissolved, 62% of the 290,534 legal entities with a 2016 dissolution marginal; no communiqué explains the difference of 537. With the 25,777 entities of the second group, the total reaches 70.9%, the 71% the MEF cites (own calculation).

Date Document Figure or decision
04.02.2026 MEF communiqué 290,534 legal entities with a 2016 dissolution marginal; first block of 180,883 companies
27.02.2026 MEF communiqué Dissolution of 180,346 legal entities begins; from that date only correction filings are accepted, that is, rehabilitation of legal entities with several RUCs and in good standing in one of them
09.03.2026 MEF communiqué 180,346 dissolved (62% of the 2016 total) in the Public Registry, with cancellation of the RUC at the DGI
16.03.2026 Circular MEF-2026-15506 Second group (2016) on 31 March; third group (2017-2025) on 30 April
25.03.2026 Circular of the Superintendencia de Bancos Group of 31 March: 25,777 entities; those holding accounts or assets that secure bank loans are excluded
27.03.2026 MEF communiqué About 26 thousand more on 31 March (cumulative 71%); about 100 thousand on 30 April

Another difference: the communiqué of 4 February defines stage 1 as non-payment of the tasa única «por más de veinte años» (for more than twenty years), and the one of 23 February and the circular of 16 March, as «más de diez años» (more than ten years). The 2016 groups belong to stage 1; the 2017-to-2025 group falls outside it, and the circular does not say which stage it belongs to.

Third group and second stage: what the MEF has published and what it has not, as of 7 October 2026

The MEF’s latest communiqué on the clean-up of legal entities is dated 27 March 2026; as of 7 October 2026 mef.gob.pa does not publish the result of the second group or of the third, of about 100 thousand legal entities and scheduled for 30 April. Stage 2, covering companies with suspended status in the Public Registry, has no date in the documents cited.
